Leerdoelen Upon completion of the course the student is able to:
1. Critique key theories, concepts, and approaches in the research domain of corporate governance.
2. Compare (inter)national corporate governance arrangements.
3. Evaluate advantages and disadvantages of specific corporate governance arrangements with respect to behavioral consequences for effective governance.
4. Apply key theories and concepts in the corporate governance domain to governance arrangements in practice.
5. Judge the effectiveness of governance arrangements in practice.
6. Design best practice recommendations on governance topics.
7. Write a clearly structured report following the guidelines set out in the course manual.
Omschrijving Effective governance is crucial for organizations. Students learn how to critically evaluate governance research and practice, how to apply theories and findings from such research to analyze governance problems. The aim of this course is to provide students with in-depth knowledge of how the determinants and outcomes of corporate governance arrangements have been measured and studied in the academic literature and applied to governance problems. As this literature is extensive, we need to focus on a number of topics that are of interest. The topics that will be chosen will be particularly relevant as they are hotly debated in academic as well as policymaking circles (e.g. executive pay, the Chief Executive Officer (CEO), the board of directors, diversity).
