Articles of Association


NAME, PLACE AND ESTABLISHMENT, TERM

Article 1 
The Association bears the name: Sportvereniging Personeel Rijksuniversiteit/Hanzehogeschool (Sports Association for the Staff of the University of Groningen and Hanze University of Applied Sciences Groningen) and is established in Groningen.
The acronym SPR is used in these Articles of Association.
This Association was established on 1 December 1950 for an unlimited term.

 

AIM
Article 2

SPR aims to promote collegiality, physical and mental development, and leisure, in the broadest sense of the words, for the staff of the University of Groningen and Hanze University of Applied Sciences Groningen.  

Article 3

SPR attempts to achieve the aim described in Article 2 by lawful means by forming sections for sports, physical and mental development and leisure, organising competitions and meetings and proposing or promoting initiatives that will enable the personnel to pursue physical and mental development, leisure and the practice of sports, all in good spirit, as well as any other lawful means of achieving this aim.

 

ASSOCIATION YEAR

Article 4

The association year runs from 1 January to 31 December.

 

MEMBERS

Article 5  

  1. The Association has ordinary and extraordinary members.
  2. Ordinary members are:
    • All those employed at the University of Groningen and Hanze University of Applied Sciences Groningen, irrespective of the type of employment contract.
    • Staff of institutions affiliated with the University of Groningen and Hanze University of Applied Sciences Groningen, at the discretion of the Board.
    • Retired staff of one of these institutions.
  3. Extraordinary members are:
    • life members
    • honorary members
  4. Membership shall end in the event of:
    • death
    • expulsion
    • termination of employment other than retirement
    • failure to continue to meet the terms described in 5.2
    • written cancellation of the membership to the Board, taking into account a cancellation term of four weeks.
  5. A member can be expelled by the Board, if applicable following a decision made by the General Meeting, for behaviour that contravenes the Articles of Association or Standing  Rules or the character of the Association.


    An expelled member may make an appeal in writing to the General Meeting within ten days of receipt of the Board’s written communication of this fact; this appeal must be submitted in writing via the SPR Board.

FINANCIAL RESOURCES

Article 6

SPR’s financial resources are made up of:
         a. membership fees
         b. donations, testamentary dispositions, and legacies
         c. other profits.

 

MEMBERSHIP FEE

Article 7

All members are required to pay the membership fee set by the Board and approved by the Annual General Meeting.
The Board determines the manner of collecting the membership fee.

 

THE BOARD

Article 8

SPR is led by a Board of members elected by the members. The Board has a minimum of five members, who decide on the allocation of functions among themselves, unless the General Meeting explicitly decides otherwise. Members of the Board fulfil open posts in the Board until the next General Meeting. The chairperson, secretary and treasurer together represent SPR at law and otherwise and form the Executive Committee.

 

GENERAL MEETINGS

Article 9

A General Meeting will be held at least once per year. All members have the right to sit on the General Meeting and may also represent a fellow member there.  

All ordinary members have voting rights. 

The members are convened for a General Meeting by means of a notice to all members at least ten days in advance. 

During the Annual General Meeting, the following matter s are considered:

  • the filling of open posts on the Board
  • the annual reports; accountability by the Board with regard to the previous association year; setting the budget.

The Annual General Meeting takes binding decisions based on a simple majority of the valid votes cast. 

Non-personal affairs can be decided by show of hands, matters involving persons by written vote.

 


EXTRAORDINARY GENERAL MEETING 

Article 10

The Board can convene one or more Extraordinary General Meetings of members, if applicable at the request of ordinary members. The Board is obliged to convene an Extraordinary General Meeting if at least 25 ordinary members have made a request to do so in writing to the secretary.

Should the Board fail to meet such request within one month of receipt of said request, the members have the right to convene an Extraordinary General Meeting themselves, in compliance with these Articles of Association and the Standing Rules.

 

DISPUTES

Article 11

All disputes that may occur between members and the Board shall be settled by the Annual General Meeting.

 

Article 12
The association has Standing Rules, which are approved by the Annual General Meeting and which may not contain stipulations that conflict with these Articles of Association.

The Articles of Association are annotated in the Standing Rules.

A proposal to amend the Standing Rules may only be considered in a General Meeting and on the condition that such proposal is made known to the members in writing at least ten days in advance of the meeting.

 

AMENDMENTS TO THE ARTICLES OF ASSOCIATIO, DISSOLUTION OF THE ASSOCIATION

Article 13

A decision pertaining to an amendment of the Articles of Association or the dissolution of SPR can only be made by a General Meeting, on the condition that at least ¾ of the ordinary members are present or represented. A majority of at least of the valid votes is required.

If the required number of ordinary members is not present or represented, a second General Meeting is held within four weeks, allowing for a notice period of a minimum of ten days. This General Meeting may take decisions, irrespective of the number of ordinary members present or represented. A majority of at least of the valid votes is likewise required.

Amendments to the Articles of Association only take effect after they have been recorded in a notarial act.

The stipulations in article 12, para 2 also apply to decisions pertaining to an amendment of the Articles of Association or the dissolution of SPR.

Article 14
Upon dissolution of the association, the Board shall settle the accounts. Any association profits remaining after settlement of debts shall be donated to a charitable organisation by the Board, unless another arrangement has been agreed on.

The dissolution will be carried out in accordance with article 19, book 2 of the Dutch Civil Code.

 

FINAL PROVISION

Article 15

In cases not provided for in the Articles of Association or the Standing Rules, the Board shall take any decisions necessary, which decisions will remain in force until the next General Meeting has voted on them.
